1. Acceptance of Terms
By accessing and using the services provided by Emirtrust Business Services ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Services Description
Emirtrust Business Services provides business consultancy services in the UAE, including but not limited to: VAT and tax filing assistance, corporate tax registration, business setup and licensing, residency visa services, PRO and government services, and financial consulting. The specific scope of services will be defined in individual service agreements.
3. Client Responsibilities
Clients are responsible for:
• Providing accurate, complete, and timely information required for service delivery
• Responding promptly to requests for documentation or clarification
• Ensuring all documents provided are genuine and legally obtained
• Informing us of any changes to their business status or requirements
• Paying agreed fees in accordance with the payment terms
• Complying with all applicable UAE laws and regulations
4. Service Delivery
We will use reasonable efforts to deliver services in a professional and timely manner. However, timelines may be affected by factors beyond our control, including government processing times, third-party delays, or incomplete client documentation. We will keep clients informed of any significant delays or issues affecting service delivery.
5. Fees and Payment
• Service fees will be communicated and agreed upon before commencing work
• Payment terms will be specified in individual service agreements or quotations
• Government fees, filing costs, and third-party expenses are typically additional unless stated otherwise
• Late payments may incur additional charges as specified in the service agreement
• We reserve the right to suspend services for overdue accounts
6. Confidentiality
We maintain strict confidentiality regarding all client information and business details. We will not disclose confidential information to third parties except: (a) with client consent, (b) to service providers assisting in service delivery (under confidentiality obligations), (c) as required by law, or (d) to protect our legal rights.
7. Intellectual Property
All materials, documents, and content created by Emirtrust Business Services remain our intellectual property unless explicitly transferred to the client. Clients receive a license to use deliverables for their intended business purposes. Our trademarks, logos, and branding may not be used without written permission.
8. Limitation of Liability
To the maximum extent permitted by law:
• Our liability is limited to the fees paid for the specific service in question
• We are not liable for indirect, consequential, or incidental damages
• We are not responsible for delays or failures due to government actions or decisions
• We are not liable for losses arising from inaccurate information provided by clients
• We do not guarantee specific outcomes from government applications or filings
9. Indemnification
Clients agree to indemnify and hold harmless Emirtrust Business Services, its officers, employees, and agents from any claims, damages, or expenses arising from: (a) breach of these terms, (b) provision of false or misleading information, (c) violation of any third-party rights, or (d) non-compliance with applicable laws.
10. Termination
Either party may terminate the service relationship with written notice. Upon termination:
• All outstanding fees become immediately due
• We will provide reasonable assistance in transitioning to another service provider
• Confidentiality obligations survive termination
• Client materials will be returned upon request and payment of outstanding amounts
11. Dispute Resolution
Any disputes arising from these terms or our services will be governed by the laws of the United Arab Emirates. Parties agree to first attempt to resolve disputes through good-faith negotiation. If unresolved, disputes will be submitted to the competent courts of Dubai, UAE.
12. Modifications
We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on our website with an updated effective date. Continued use of our services after modifications constitutes acceptance of the updated terms. Significant changes will be communicated to active clients.
13. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
14. Entire Agreement
These Terms and Conditions, together with any specific service agreements, constitute the entire agreement between you and Emirtrust Business Services. They supersede all prior communications, representations, or agreements, whether oral or written.
